Board of Statutory Auditor
The Board of Statutory Auditors consists of three standing members and two alternate members, appointed for a period of three fiscal years. The Board of Statutory Auditors is entrusted with the duties of overseeing the company’s administration, as per the first paragraph of Article 2403 of the Civil Code and the rules governing banking activities. The currently serving Board of Statutory Auditors was appointed by the Shareholders at the Ordinary General Meeting of April 3, 2024 for the financial years 2024-2026 and their term of office will expire with the approval of the financial statements for 2026.
Maria Ludovica Giovanardi
President
Maria Ludovica Giovanardi is Chairwoman of Board of Statutory Auditors of CA Auto Bank. She is chartered accountant and certified public accountant. In her professional career, she has dealt, among other subjects, with corporate, tax, accounting and administrative consultancy. She has also gained experience and knowledge in banking law, strategic consulting, sustainability, and corporate governance. Among the positions held, from 2013 to 2016 she was a Statutory Auditor and, subsequently, a member of the Supervisory Body of Crédit Agricole Leasing Italia S.r.l.. She currently holds the position of Statutory Auditor of Crédit Agricole Italia, of Crédit Agricole Group Solutions and has experience as a member of the supervisory bodies of major companies. Since 2022, she has been a full member of the Equal Opportunities Committee of the Reggio Emilia Order of Chartered Accountants. She graduated with honours in Economics and Business Management from L.U.I.S.S. University in Rome.
Mauro Ranalli
Auditor
Mauro Ranalli is Member of the Board of Statutory Auditors of CA Auto Bank.
He is a chartered accountant and certified public accountant. Since 1988 he has held the position of statutory auditor in industrial, service and financial companies. He has developed specialised skills in cross-border taxation, foreign production facilities, litigation with the tax authorities of EU Member States, and complex tax litigation. He also has professional experience in financial statements, extraordinary corporate transactions, and civil procedure. In 1996, he became a member of the Board of Directors of IGAF Europe (Hilversum, The Netherlands), until 1999, and in 1997 he also became a Member of the IGAF SME Committee for the three-year period 1997-2000. From 2002 to 2006 he was Technical Coordinator of the Working Group ‘International Relations’ at the Order of Chartered Accountants of Torino. o.
He holds a degree in Economics and Commerce from the Università degli Studi di Torino.
Vincenzo Maurizio Dispinzeri
Auditor
Vincenzo Maurizio Dispinzeri is Member of the Board of Statutory Auditors of CA Auto Bank. He is lawyer specialised in regulatory banking law. He worked in Bank of Italy, where he was in charge first as an analyst and later in the resolution and crisis management unit. Before the role of head of the Banking Regulatory department of Studio Grimaldi, he was partner in several leading Italian and international law firms (including Pavia and Ansaldo, Watson Farley & Williams, EY), always dealing with banking regulation and extraordinary transactions on supervised entities. He has served as a representative of several banks and financial intermediaries and he has been an extraordinary commissioner or member of the supervisory committee of several extraordinary or compulsory liquidation proceedings. He holds a degree in Law and a Master in Insurance from the LUISS University of Rome – Management School.
Francesca Pasqualin
Alternate Auditor
Francesca Pasqualin is Alternate Member of the Board of Auditors of CA Auto Bank. She is a Chartered Accountant and Certified Public Accountant. She is partner of Adacta Studio Associato where she is team leader of the Service Line “Administrator and Board of Statutory Auditors”. Specialised in Governance and Compliance consulting, she has many years of experience as member of the Boards of Statutory Auditors and Supervisory Bodies of major companies operating in the industrial, banking and insurance sectors. From 2016 to 2022, she was a member of the Board of Statutory Auditors and of the Supervisory Body of Crédit Agricole Friuladria Spa and currently holds the position of statutory auditor in Crédit Agricole Vita Spa.
She holds a degree in Business Economics from Ca’ Foscari University of Venice.
Francesca Michela Maurelli
Alternate Auditor
Francesca Michela Maurelli is Alternate Member of the Board of Statutory Auditors of CA Auto Bank. She started her career at KPMG Advisory S.p.A., she was manager since 2000 and Senior Manager since 2002. Since 2004 she has been involved in consultancy and judicial activities at Studio Costantini & Partners and since 2016 she has been working in corporate governance and advising the top management of public and private companies on strategic, organisational and financial aspects at the Studio Prof. Gatti. Among the positions held, she is Statutory Auditor of Crédit Agricole Italia S.p.A. since 2022, Statutory Auditor of Crédit Agricole Leasing Italia S.r.l. since 2023 and Chairwoman of the Board of Statutory Auditors of Autogrill S.p.A. since 2021.
She holds a degree in Business Economy at “La Sapienza” University of Rome and a Master in Business Administration at L.U.I.S.S. University.
